1. Who we are and what these Terms cover
Myron is operated by the operator of sana.health (“Sana”, “we”, “us”). These Terms of Service (“Terms”) govern your access to and use of Myron, including the web application at studio.sana.health and any other address where we host it, its APIs, its Model Context Protocol (MCP) connector, its downloads and any related software or documentation (together, the “Service”).
By signing in to, connecting to or otherwise using the Service, you accept these Terms and our Privacy Policy. If you use the Service on behalf of a company or other organisation (for example, as an agency or contractor), you confirm that you are authorised to bind it, and “you” includes that organisation. If you do not accept these Terms, do not use the Service.
2. Eligibility and access
- The Service is a private business tool. It is not offered to the public or to consumers. Access is by invitation from a Sana administrator only.
- You must be at least 18 years old and legally able to enter into a binding contract.
- You may not use the Service if you are subject to sanctions administered by the EU, the UK, the UN or the United States, or if you are located in a country or region subject to comprehensive sanctions.
- Access is a privilege we grant at our discretion, not a right. We decide who may use the Service, which features and models they can use, and how much they may spend.
3. Accounts and credentials
- Your account, sign-in link, password and access tokens (including tokens beginning
myr_orswp_and any OAuth token issued to a connected tool) are personal to you. Do not share them, put them in shared documents or code, or let anyone else use your account. - You are responsible for all activity under your account and credentials, including credits spent, until you tell us they have been compromised.
- Tell your administrator or us at legal@sana.health immediately if you suspect any unauthorised access or use.
- Administrators may create, change, rotate, reset or disable any account or credential at any time, with or without notice.
4. Your licence to use Myron
Subject to these Terms, Sana grants you a limited, personal, revocable, non-exclusive, non-transferable and non-sublicensable licence to access and use the Service solely to perform work for Sana, during the period your access is enabled.
Sana and its licensors own the Service and all intellectual property rights in it, including its software, design, prompts, prompt libraries, workflows, templates, research, principles, models, brand assets and documentation. No rights are granted to you except those expressly set out in these Terms. All rights not expressly granted are reserved.
You must not, and must not help anyone else to: (a) copy, modify, translate or create derivative works of the Service; (b) reverse engineer, decompile, disassemble or try to extract its source code, prompts, system instructions or model configurations, except to the extent such restriction is prohibited by law; (c) rent, lease, sell, resell, sublicense or provide the Service or its outputs to any third party; (d) use the Service, or any knowledge of how it works, to build, train or improve a competing product or service; (e) remove or alter any notices; or (f) access the Service by automated means other than the interfaces we provide (the web app, the MCP connector and documented APIs) in the way they are intended to be used.
5. Credits, spend limits and costs
- Generations consume paid capacity from third-party providers. Sana pays for it. Credits, caps, top-ups and quotas shown in the Service are internal accounting units only. They have no cash value, cannot be transferred, sold or redeemed, and give you no entitlement to any amount of use.
- Sana sets and may change, reduce or remove any spend limit, daily cap or top-up at any time. Quotes shown before a run are estimates; actual provider charges may differ.
- You must not split, repeat or structure jobs, use other people's accounts, or otherwise act to get around a limit, and you must not run generations that have no genuine business purpose for Sana.
- To the extent permitted by applicable law, Sana may recover from you the provider costs of use that breaches these Terms.
6. Content you provide
“Your Content” means anything you or anyone using your account uploads, imports, links, pastes or otherwise submits to the Service, including product images, reference ads, video, audio, voices, scripts, briefs, research, prompts, notes and feedback, and anything the Service downloads at your instruction (for example from a URL, Google Drive, Google Docs or an ad library).
You represent and warrant, each time you submit Your Content, that:
- you own it or have all rights, licences, consents and permissions needed to submit it and for Sana and its service providers to process it as described in these Terms and the Privacy Policy;
- where it includes any identifiable person's image, likeness, voice, name or other personal data, you have that person's documented consent or another lawful basis, and you have given them any notice the law requires;
- it does not infringe or misappropriate any copyright, trademark, trade secret, right of publicity or privacy, or any other right of any person; and
- it does not breach any law, any contract you are bound by (including confidentiality obligations to former employers or clients) or the Acceptable Use rules in section 10.
Third-party ads and other material imported as “references” may be used only as internal study material for structure, pacing and format. You must not instruct the Service to reproduce a third party's footage, artwork, script, trademarks, music or a real person's face or voice, and you must not publish any such element.
You grant Sana and its service providers a worldwide, royalty-free, perpetual, irrevocable, sublicensable and transferable licence to host, store, copy, process, transmit, modify, analyse and create derivative works from Your Content to operate, secure, support and improve the Service and for Sana's business. To the extent Your Content is your own work made for Sana, section 7 applies to it as well.
Sana is not obliged to review Your Content but may do so, and may refuse, remove, quarantine or delete any of it at any time and for any reason. You are solely responsible for Your Content and for keeping your own copies of anything you need.
7. Outputs and ownership
“Outputs” means everything generated, edited, rendered, assembled or produced in or through the Service, including videos, images, audio, voiceovers, captions, scripts, briefs, concepts, analyses, scores, prompts and project files, together with any edits you make to them.
- As between you and Sana, all Outputs, and all work product you create with or for the Service, belong exclusively to Sana from the moment of creation. To the extent any right in them vests in you, you assign it (including all future rights, to the extent the law permits a present assignment of future rights) to Sana, without further payment, and agree to sign any document Sana reasonably requests to confirm or perfect this assignment.
- To the extent permitted by law, you irrevocably waive, and agree not to assert, any moral rights or similar rights in Outputs against Sana or its licensees. Where such rights cannot be waived, you consent to Sana using, adapting and publishing Outputs without attribution and in any way it chooses.
- You may use Outputs only for Sana's business. You may not use, publish, sell, include in a portfolio or keep copies of Outputs for any other purpose without Sana's prior written permission.
- Any suggestions, ideas or feedback you give about the Service may be used by Sana freely, without obligation or payment to you, and Sana owns any improvements based on them.
Sana does not warrant that Outputs are protected by copyright or any other intellectual property right. Some jurisdictions do not protect purely machine-generated material.
8. AI-generated material
The Service relies on third-party artificial intelligence models. You acknowledge and accept that:
- Outputs are generated automatically and may be inaccurate, incomplete, offensive, biased, unsafe or misleading, and may contain errors such as mispronunciations, garbled text, visual artefacts or content that does not match your instructions.
- Outputs may be similar or identical to material generated for others, or may resemble existing works, trademarks or real people. Sana does not guarantee that any Output is original, unique or free from third-party rights.
- Scores, judgements, predictions, calibrations and recommendations produced by the Service (for example creative scoring or performance analysis) are informational estimates, not facts, advice or guarantees of results.
- Providers may refuse, filter, alter or fail to complete requests, and may charge for failed or refused requests.
- You must review every Output yourself, with appropriate care, before relying on it or allowing it to be used outside the Service. Using an Output is your decision and your responsibility.
9. Publishing and advertising
- Nothing produced in the Service is approved for publication merely because the Service produced, scored or exported it. You may publish, upload to an ad account, send to a client or otherwise release an Output only through the review and approval process Sana designates, and only with the approval of an authorised Sana decision-maker.
- Whoever publishes or submits an Output is responsible for its content and for complying with all laws, regulations and platform rules that apply to it, including advertising, consumer protection, intellectual property, privacy, publicity, endorsement and testimonial rules, and rules on labelling AI-generated or manipulated content.
- You must not present AI-generated people as real customers, patients, clinicians or other real persons, or attribute statements to a real person who did not make them, unless an authorised Sana decision-maker has approved that use in writing after confirming it is lawful.
10. Acceptable use
You must not use the Service to create, upload, request or share, or to attempt to create:
- any sexual or sexualised content involving a minor, or any content that depicts or appears to depict a person under 18 in a sexual, violent or exploitative context;
- sexually explicit content or nudity, or intimate imagery of any real or identifiable person;
- a realistic image, video or voice of any real, identifiable person (including celebrities, public figures, creators from reference ads, colleagues and customers) without that person's prior written consent covering the specific use;
- content that impersonates any person or organisation, or falsely implies endorsement, sponsorship or affiliation;
- content that is unlawful, defamatory, harassing, hateful, threatening or that promotes violence, self-harm or illegal activity;
- content that infringes any intellectual property, privacy, publicity or other right of any person; or
- malware, phishing material or content designed to deceive a platform's review systems.
You must also not:
- try to bypass, disable or work around any safety filter, moderation system, content policy, rate limit or usage limit of the Service or of any provider, including by rewording, encoding or splitting prompts;
- probe, scan or test the vulnerability of the Service, or breach or circumvent any security or authentication measure, unless Sana has authorised the test in writing;
- interfere with or disrupt the Service, its servers or other users' work, or overload it;
- access or try to access accounts, projects, data or areas of the Service you are not authorised to use;
- download, copy or export the Service's data, research, prompts or Outputs in bulk except as your role requires;
- breach the terms or usage policies of any provider whose models or services the Service uses (see section 12); or
- use the Service in breach of any applicable law.
11. No patient or health data
The Service is a creative production tool. It is not designed, configured or contracted to store or process health information, and it is not a system for any regulated health-data purpose. You must not upload, paste, import or otherwise submit:
- any patient, customer or prescription records, intake or consultation data, order or treatment information, or any data from Sana's clinical, pharmacy, telehealth, CRM or payment systems;
- protected health information as defined under the U.S. Health Insurance Portability and Accountability Act (HIPAA), or any information that identifies or could reasonably identify an individual together with their health, sexual life or sexual orientation; or
- any other special category of personal data (for example data revealing racial or ethnic origin, religion, biometric identity or genetic data) about an identifiable person.
Customer reviews, comments and research may be submitted only after anything that identifies the person (names, handles, photos, order numbers, locations and similar details) has been removed. If you submit prohibited data, tell us immediately at privacy@sana.health. We may delete it without notice.
12. Third-party services
The Service works by sending requests to third-party providers, which currently include AI model providers and aggregators (such as Kie.ai and the developers of the models it routes to, ElevenLabs, Anthropic, HeyGen, Google and Higgsfield), hosting and infrastructure providers, and services you or Sana choose to connect (such as Google Sheets, Google Docs, Google Drive and the Meta Marketing API). The Privacy Policy lists them.
- Third-party services are governed by their own terms and policies. You must comply with the usage policies of every provider whose service you cause the Service to use.
- Sana does not control and is not responsible for third-party services, including their availability, output, content moderation, pricing, security or data practices, and may add, replace or remove any provider or model at any time.
- Content downloaded from third-party websites at your instruction is retrieved on your responsibility. You must have the right to download and use it.
13. Claude and other connected AI tools
You may connect an AI assistant (such as Claude) to the Service through its MCP connector only if your administrator has enabled it for you. When you do:
- that assistant acts on your instructions under your account, and everything it does through the connector (including spending credits) is treated as your activity;
- data the assistant reads from the Service is processed by its provider under your agreement with that provider, not under these Terms. Sana is not responsible for that provider's processing;
- you must use an account whose settings do not permit the provider to use your conversations to train its models, or an account provided or approved by Sana; and
- you must disconnect it, and tell your administrator, if the device or account it runs on is lost, shared or compromised.
14. Confidentiality
“Confidential Information” means all non-public information you access through or in connection with the Service, including the Service itself and how it works, its prompts, prompt libraries, models and settings, product information, research, customer insights, creative strategies, briefs, scripts, Outputs before publication, performance data, spend data and anything about Sana's business, partners and team.
You must keep Confidential Information strictly confidential, use it only to perform work for Sana, not disclose it to anyone except Sana personnel who need to know it, and protect it with at least reasonable care. You must not paste it into AI tools, services or accounts other than the Service and those Sana has approved. These obligations continue after your access ends, for as long as the information remains confidential, and indefinitely for trade secrets. When your access ends, or when Sana asks, you must stop using and delete or return all Confidential Information and Outputs in your possession, except where Sana tells you in writing to keep them.
This section does not stop you from disclosing information where the law requires it, from reporting suspected wrongdoing to a competent authority, or from exercising any right that cannot lawfully be restricted. Where permitted, give Sana prompt notice of any legally required disclosure.
15. Monitoring and security
To protect the Service, control costs and protect Sana's intellectual property, Sana records and may review activity in the Service. This includes sign-ins, prompts and instructions, uploads, generations, edits, downloads, connector requests, credits spent and technical data such as IP addresses. Administrators can see team members' projects, Outputs and spend. The Privacy Policy describes this processing and your rights. Do not put personal or private material in the Service that you do not want Sana to see.
We use reasonable technical and organisational measures to protect the Service, but no system is completely secure. You must report any security vulnerability, incident or suspected misuse you become aware of to us promptly and must not exploit or disclose it.
16. Suspension and termination
- Sana may suspend, restrict or end your access to all or part of the Service at any time, for any reason or no reason, with or without notice, including if we believe you have breached these Terms, if your work with Sana ends, or to protect the Service, Sana or others.
- You may stop using the Service at any time.
- When your access ends, your licence ends immediately. Your Content and Outputs remain with Sana, and Sana may keep or delete them in line with the Privacy Policy. Sana has no obligation to export or return anything to you.
- Sections 4 (restrictions and ownership), 5 (last point), 6 (licence and warranties), 7 to 9, 11, and 14 to 23 survive termination.
17. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Service, all Outputs and all third-party services are provided “as is” and “as available”, with all faults and without warranty of any kind. Sana and its licensors and providers expressly disclaim all warranties, conditions and representations, whether express, implied or statutory, including any warranty of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, accuracy, availability or that the Service will be uninterrupted, secure, error-free or free of harmful components, or that any data will be preserved.
Some jurisdictions do not allow certain warranties to be excluded. In those jurisdictions, the exclusions above apply to the fullest extent permitted.
18. Limitation of liability
To the maximum extent permitted by applicable law: (a) Sana and its affiliates, officers, employees, agents, licensors and providers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, opportunity, data or content, or for costs of substitute services, arising out of or relating to the Service, Outputs or these Terms, however caused and under any theory of liability, even if advised of the possibility of such damages; and (b) the total aggregate liability of Sana and those persons for all claims arising out of or relating to the Service, Outputs or these Terms will not exceed one hundred euros (EUR 100).
Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law, such as liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for damage caused intentionally or by gross negligence where the law does not allow that liability to be limited. Nothing in these Terms limits any right an employee has under mandatory employment law.
19. Indemnity
To the extent permitted by applicable law, you will defend, indemnify and hold harmless Sana and its affiliates, officers, employees and agents from and against all claims, demands, losses, liabilities, damages, fines, penalties, costs and expenses (including reasonable legal fees) arising out of or relating to: (a) Your Content; (b) your breach of these Terms or of any law; (c) your infringement of any right of any person; or (d) any Output you publish, distribute or release other than through Sana's approval process under section 9. Sana may control the defence of any such claim at your cost, and you will cooperate with it. You must not settle any claim that affects Sana without Sana's prior written consent.
20. Employment and contractor agreements
These Terms do not create any employment, partnership, agency or joint-venture relationship. If you have a separate written agreement with Sana (such as an employment, contractor, agency or services agreement), that agreement governs your engagement and, where it conflicts with these Terms, prevails. However, any intellectual property assignment, confidentiality, non-solicitation or data protection obligations in these Terms are in addition to, and do not reduce, those in your separate agreement, and the provision that gives Sana greater protection applies to the extent permitted by law.
21. Changes to Myron and to these Terms
The Service is under active development. Sana may add, change, suspend or remove any feature, model, provider or integration at any time without liability. Some features may be labelled experimental or beta; they are offered without any commitment and may be withdrawn.
Sana may update these Terms from time to time. The updated version takes effect when it is posted at this address, unless a later date is stated. For material changes, we will try to give notice in the Service or by email. Continuing to use the Service after a change takes effect means you accept the updated Terms. If you do not accept them, you must stop using the Service.
22. Governing law and disputes
These Terms, and any dispute or claim arising out of or in connection with them or the Service (including non-contractual disputes or claims), are governed by the laws of the jurisdiction in which Sana is incorporated, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Exclusive jurisdiction lies with the competent courts at Sana's registered seat, except that Sana may seek injunctive or other urgent relief to protect its intellectual property, Confidential Information or the Service in any court of competent jurisdiction. This choice does not deprive you of the protection of mandatory provisions of the law that would apply in its absence, including mandatory employment law.
23. General
- Entire agreement. These Terms, the Privacy Policy and any separate agreement referred to in section 20 are the entire agreement about the Service and replace any earlier understanding about it.
- Assignment. You may not assign or transfer these Terms or your rights under them. Sana may assign or transfer them, in whole or part, including to an affiliate or in connection with a merger, acquisition or sale of assets.
- Severability. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the rest of these Terms remain in full effect.
- No waiver. A failure or delay by Sana in enforcing any provision is not a waiver of it.
- Force majeure. Sana is not liable for any failure or delay caused by events beyond its reasonable control, including failures of third-party providers, networks or hosting.
- Notices. Sana may give you notice in the Service or by email to the address associated with your account. You must send notices to Sana at legal@sana.health.
- Language. These Terms are written in English. Any translation is for convenience only, and the English version prevails.
- Third parties. Except for Sana's affiliates, officers, employees, agents, licensors and providers under sections 17 to 19, no third party has any right to enforce these Terms.
